Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Central Coast HR website at centralcoasthr.com and our client portal (together, the "Site"). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. About Central Coast HR

Central Coast HR is an independent HR consulting practice owned and operated by Erin Coleman, SHRM-CP, based in Paso Robles, California. We provide HR consulting services to businesses, including employment investigations, California compliance support, wage and hour reviews, policy and handbook development, performance management, and pre-litigation HR support.

2. Eligibility

You must be at least 18 years old and authorized to enter into binding agreements on behalf of yourself or the entity you represent to use this Site. By using the Site, you represent that you meet these requirements.

3. Not Legal Advice

Central Coast HR is an HR consulting practice and is not a law firm. Erin Coleman is an experienced HR professional and SHRM-CP, not a licensed attorney. Nothing on this Site, in any communication, deliverable, document, or consultation, constitutes legal advice or creates an attorney-client relationship.

For legal advice, please consult a licensed employment attorney. We frequently coordinate with employment counsel and can recommend qualified attorneys upon request.

4. Description of Services

Public Website

The public portion of the Site provides information about Central Coast HR's services, allows you to submit inquiries, and offers general information about HR topics. Content is provided for informational purposes only and is not a substitute for professional consultation tailored to your specific situation.

Client Portal

The client portal is available to active clients and provides access to project information, secure messaging with Erin, document storage and exchange, invoice management, and time tracking related to your engagement.

Consulting Engagements

Actual HR consulting work is provided under a separate written engagement agreement signed by both parties. That agreement governs the scope of work, fees, deliverables, timeline, and other terms of the specific engagement. These Terms govern only your use of the Site itself.

5. Client Portal Accounts

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • You agree to provide accurate, current, and complete information during account registration and to keep that information up to date.
  • You will notify us immediately at erin@centralcoasthr.com if you suspect unauthorized access to your account.
  • We may suspend or terminate your account if you violate these Terms or your engagement agreement.

6. Acceptable Use

When using the Site, you agree NOT to:

  • Use the Site in any way that violates applicable law or regulation
  • Attempt to gain unauthorized access to any portion of the Site, other accounts, or our systems
  • Interfere with the operation of the Site, including by introducing malware, automated scraping, or denial-of-service activity
  • Use the Site to transmit unlawful, harassing, defamatory, or fraudulent content
  • Reverse engineer, decompile, or otherwise attempt to extract source code from the Site
  • Misrepresent your identity or affiliation with any person or entity
  • Upload files that contain viruses, malware, or that you do not have the legal right to share

7. Confidentiality

Our obligation: Information you share with us through the Site or during an engagement is treated as confidential and protected as described in our Privacy Policy and any applicable engagement agreement.

Your obligation: Work product, methodologies, templates, advice, written materials, and other deliverables provided by Central Coast HR are confidential business information. You agree not to share, distribute, publish, or otherwise disclose them outside your organization or to competitors of Central Coast HR without our written consent.

8. Intellectual Property

Site Content

The Site, including its design, graphics, text, logos, and code, is owned by Central Coast HR and protected by copyright and other intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from any portion of the Site without our written permission, except for personal, non-commercial use of public-facing content.

Engagement Work Product

Ownership of work product created during a consulting engagement (such as custom handbooks, policies, investigation reports, and audit findings) is governed by the applicable engagement agreement. Generally, custom deliverables prepared specifically for you become your property upon full payment, while Central Coast HR retains ownership of underlying methodologies, templates, frameworks, and know-how.

9. Disclaimers

The Site and the public-facing information on it are provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Site will be uninterrupted, error-free, or secure.

Information on the Site is general in nature and is not intended as a substitute for professional advice tailored to your circumstances. California employment law is complex and changes frequently. Do not rely solely on Site content for compliance, employment decisions, or other significant business matters.

Nothing on this Site constitutes legal advice. See Section 3.

10. Limitation of Liability

To the maximum extent permitted by California law, Central Coast HR and Erin Coleman shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or in connection with your use of the Site, even if advised of the possibility of such damages.

Our aggregate liability arising from or relating to your use of the Site (separate from liability under any engagement agreement, which is governed by that agreement) shall not exceed one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Central Coast HR, Erin Coleman, and any contractors or agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your violation of these Terms, (b) your misuse of the Site, (c) your violation of any law or third-party right, or (d) any content you submit to the Site.

12. Termination

We reserve the right to suspend or terminate your access to the Site (including any portal account) at any time, with or without notice, if we believe you have violated these Terms or for any other reason in our discretion. You may stop using the Site at any time. Provisions intended by their nature to survive termination — including disclaimers, limitation of liability, indemnification, intellectual property, and governing law — will survive.

13. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising under or related to these Terms shall be resolved exclusively in the state or federal courts located in San Luis Obispo County, California, and you consent to the personal jurisdiction of those courts.

14. Dispute Resolution

Before filing a lawsuit, the parties agree to attempt in good faith to resolve any dispute through direct negotiation. If negotiation does not resolve the dispute within thirty (30) days, the parties agree to attempt mediation with a mutually agreed-upon mediator in San Luis Obispo County before pursuing litigation. This requirement does not apply to claims for injunctive relief related to intellectual property or unauthorized access.

15. Modifications

We may modify these Terms from time to time. The "Last Updated" date at the top reflects the most recent revision. Material changes will be posted prominently on the Site. Your continued use after changes are posted constitutes acceptance of the revised Terms. If you do not agree, stop using the Site.

16. General Provisions

Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

No Waiver

Our failure to enforce any provision is not a waiver of that provision or any other.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable engagement agreement, constitute the entire agreement between you and Central Coast HR regarding your use of the Site, and supersede any prior or contemporaneous communications.

Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
